A leading insurance and financial services organization is seeking a highly experienced Associate General
Counsel with deep expertise in complex reinsurance transactions, corporate governance, and regulatory
compliance. This role will serve as principal deal counsel on strategic reinsurance and capital markets
transactions, while also providing regulatory guidance across U.S. and Bermuda jurisdictions.

Key Responsibilities:
* Serve as lead legal advisor on a variety of reinsurance transactions involving life and annuity
portfolios, including block and flow reinsurance, pension risk transfer, corporate-owned life
insurance, and capital markets solutions
* Provide strategic legal counsel on U.S. and international insurance regulatory issues, corporate
governance, and enterprise-level initiatives
* Advise the institutional markets team on structuring and executing reinsurance capital solutions
* Support the development and implementation of reinsurance structures including treaty, facultative,
affiliate, and captive arrangements, with a focus on Bermuda-domiciled strategies
* Partner with executive leadership on transformational transactions and long-term risk transfer
initiatives
* Deliver legal advisory services related to public and private securities offerings, reserve financing,
securitizations, and capital markets transactions
* Ensure compliance with all relevant insurance regulatory frameworks in U.S. and Bermuda markets

Qualifications:
* Juris Doctor (JD) from an accredited law school and licensed to practice in at least one U.S.
jurisdiction
* Minimum of 15 years of legal experience, preferably within the life and annuities sector of a major
insurance or reinsurance organization
* In-depth product knowledge in life insurance, pension risk transfer, and reinsurance
* Significant experience with captive insurance structures and Bermuda-based reinsurance
transactions
* Strong expertise in capital markets, reserve financing, and securitization strategies
* Proven track record advising senior leadership on complex regulatory and transactional matters
